Scope

Identify the customer, business units, carriers or vendors, freight modes, currencies, invoice population, record period, opportunity categories, and excluded work. Define whether the engagement covers only specified findings or later related recoveries.

Recovered funds

Define eligible funds as cash, refunds, remittances, or usable account credits actually received or posted to the customer and attributable to authorized RETALLY work, net of known reversals and agreed exclusions.

Fee and payment timing

State the contingency percentage, currency, invoicing event, payment due date, tax treatment, supporting settlement evidence, and how partial recoveries, offsets, credits, and later reversals change the fee.

Authorization

Specify who may approve claims, correspondence, dispute submissions, negotiated positions, settlements, credits, access, and outside actions. A general audit request should not silently grant that authority.

Confidentiality and data use

Confirm accepted data categories, transfer route, access, permitted purpose, subprocessors if any, retention, deletion, incident handling, and whether an additional confidentiality or data-processing agreement is required.

Customer responsibilities

Define accurate record delivery, designated contacts, timely review, disclosure of existing disputes or credits, preservation of source evidence, and notice of recoveries, reversals, and related carrier activity.

Termination

State how either party may terminate, what happens to authorized work already in progress, how records are returned or deleted, and how fees are handled for recoveries completed after termination from pre-termination work.

Finding-origin protection

Define a reasonable, time-bounded process for recoveries initiated from RETALLY findings so the customer can change strategy without using proprietary work solely to avoid an otherwise earned fee.

No guarantee

Make clear that an estimate, flagged transaction, validated finding, approved claim, or recovery effort does not guarantee payment. Carrier, vendor, documentation, timing, and legal factors can affect the outcome.
